This website is operated by Ed’s Plant Shop (“we,” “us,” or “our”). Throughout the site, “you” refers to any visitor, customer, or purchaser.

Ed’s Plant Shop offers this website, including all information, tools, products, and services available from this site (collectively, the “Service”), conditioned upon your acceptance of these Terms of Service (“Terms”) and all related policies referenced herein.

By visiting our site and/or purchasing from us, you agree to be bound by these Terms, including any additional terms and policies referenced by hyperlink. If you do not agree, you may not use the Service.

Our store is hosted on Shopify Inc., which provides the e-commerce platform enabling us to sell our products and services.

SECTION 1 — ONLINE STORE TERMS

By agreeing to these Terms, you represent that you are at least the age of majority in your jurisdiction, or you have provided consent for any minor dependents using this site.

You may not use our products or Services for any illegal or unauthorized purpose, nor violate applicable laws, including intellectual property laws.

Certain products may be available exclusively online and in limited quantities.

Live plants are natural products and may vary in size, shape, and appearance. Product photography is representative only.

Returns, refunds, guarantees, cancellations, processing timelines, and shipping holds are governed strictly by our policies, which are incorporated by reference into these Terms.

SECTION 6 — BILLING & ACCOUNT INFORMATION

We may refuse or cancel any order that appears fraudulent, abusive, or placed for resale.

You agree to provide accurate, current, and complete account and payment information and to update it as necessary.

SECTION 7 — OPTIONAL TOOLS

We may provide access to third-party tools “as is” and “as available,” without warranties or endorsement. Your use of third-party tools is at your own risk and subject to the provider’s terms.

SECTION 8 — THIRD-PARTY LINKS

We are not responsible for third-party content, websites, products, or services. Claims related to third-party products must be directed to the third party.

SECTION 9 — USER COMMENTS & SUBMISSIONS

You agree that any feedback or submissions you provide may be used by us without restriction or compensation.

You are solely responsible for your submissions and agree they will not violate laws or third-party rights or include malicious content.

SECTION 11 — ERRORS & OMISSIONS

We reserve the right to correct errors, inaccuracies, or omissions (including pricing/availability) and to cancel orders affected by incorrect information at any time.

SECTION 12 — PROHIBITED USES

You are prohibited from using the site or its content for unlawful, abusive, deceptive, discriminatory, malicious, or exploitative purposes. We may terminate access for violations.

SECTION 13 — LIVE PLANT RISK ACKNOWLEDGMENT (IMPORTANT)

Live plants are perishable, living products. By purchasing live plants from Ed’s Plant Shop, you acknowledge and agree to the following:

  1. Natural variation & living nature. Live plants may vary from photos and descriptions and may change during shipping or acclimation. Minor cosmetic issues (including slight leaf blemishes, minor leaf loss, or soil shifting) can occur and are not necessarily signs of poor health.
  2. Transit risk & carrier handling. Even with professional packing, live plants can be impacted by factors outside our control, including carrier handling, transit delays, and environmental exposure.
  3. Weather and temperature risk. Extreme heat or cold can harm plants. Customers are responsible for selecting any offered weather-protection options (e.g., heat packs) when available and appropriate. We may delay shipment to protect plant health.
  4. Delivery & receipt obligations. You agree to ensure you can receive your plant promptly upon delivery. Failure to retrieve a delivered package in a timely manner (e.g., leaving it outside, in a mailbox/parcel room, or exposed to weather) may void eligibility for remedies under our Refunds & Returns Policy.
  5. Required documentation and time windows. Any claims regarding live plants (including damage, health decline, or incorrect items) must be submitted within the timeframes and with the documentation required in our Refunds & Returns Policy. Claims submitted outside these requirements may be denied.
  6. Exclusive remedies. Remedies for live plant issues (if approved) are limited to those described in our Refunds & Returns Policy (e.g., store credit, exchange, or refund where applicable), at our discretion and subject to policy conditions.

You acknowledge that purchasing live plants includes inherent risk, and you agree that policy-defined remedies are the sole and exclusive remedies available.

SECTION 14 — DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

The Service and all products are provided “as is” and “as available.”

To the fullest extent permitted by law, Ed’s Plant Shop shall not be liable for indirect, incidental, punitive, or consequential damages arising from use of the Service or products.

Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the maximum extent permitted by law.

SECTION 15 — INDEMNIFICATION

You agree to indemnify and hold harmless Ed’s Plant Shop and its affiliates, employees, and partners from claims arising from your breach of these Terms or misuse of the Service.

SECTION 16 — SEVERABILITY

If any provision is found unenforceable, the remaining provisions remain in effect.

SECTION 17 — TERMINATION

These Terms remain effective unless terminated by you or us. We may terminate access at any time if you violate these Terms. Obligations incurred before termination survive termination.

The following policies are expressly incorporated into these Terms by reference and govern your purchase and use of the Service:

In the event of a dispute, you agree that these policies, together with these Terms and our order records (including checkout confirmations and carrier delivery confirmations), form the complete agreement between you and Ed’s Plant Shop.

SECTION 19 — ENTIRE AGREEMENT

These Terms and incorporated policies constitute the entire agreement and supersede prior agreements or communications.

SECTION 20 — GOVERNING LAW; VENUE

These Terms and any separate agreements shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-law principles.

You agree that any dispute, claim, or proceeding arising out of or relating to the Service or products shall be brought exclusively in the state or federal courts located in Kings County, New York (Brooklyn), and you consent to personal jurisdiction and venue in those courts.

SECTION 21 — CHANGES TO TERMS

We reserve the right to update these Terms at any time by posting changes on this page. Continued use of the Service after changes constitutes acceptance.
